1. Who We Are

Mana AI is an artificial intelligence company that builds tools for conversational AI, document creation, presentation generation, AI workflows, and code generation. These Terms of Use ("Terms") apply to your use of Mana AI's products and services, including our website, applications, and any other services we offer (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

2. Registration and Access

To use certain features of the Services, you must create an account. When you register, you agree to:

• Provide accurate, current, and complete information during registration
• Keep your account information up to date
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 13 years old to use the Services. If you are under 18, you must have your parent or legal guardian's permission to use the Services. If you use the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Using Our Services

You may access and use the Services in accordance with these Terms. You agree to comply with all applicable laws and our usage policies. You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Generate, distribute, or promote content that is harmful, abusive, threatening, harassing, defamatory, obscene, or otherwise objectionable
• Generate content that exploits or harms children in any way
• Attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Services or their AI models
• Interfere with, disrupt, or create an undue burden on the Services, servers, or networks connected to the Services
• Use automated means (bots, scrapers, crawlers) to access the Services beyond permitted API usage
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
• Use the Service output to develop models or services that compete with Mana AI
• Send unsolicited communications, promotions, or spam using the Services
• Attempt to gain unauthorized access to any other user's account or any non-public portions of the Services

4. Content

Your Content

You may provide input to the Services ("Input"), and receive output generated and returned by the Services based on the Input ("Output"). Input and Output are collectively "Content." As between the parties and to the extent permitted by applicable law, you own all Input. Subject to your compliance with these Terms, we hereby assign to you all our right, title, and interest in and to Output.

Our Use of Content

We may use Content to provide, maintain, develop, and improve the Services, comply with applicable law, enforce our terms and policies, and keep the Services safe. We may also use Content that is not personal information to train and improve our AI models, unless you have opted out where such options are available.

Similarity of Content

Due to the nature of artificial intelligence and machine learning, Output may not be unique across users. Other users may receive similar or identical Output. Responses that are requested by and generated for other users are not considered your Content.

Feedback

We appreciate feedback, comments, ideas, and suggestions ("Feedback"). By submitting Feedback, you agree that we are free to use it without any restriction or compensation to you.

5. Accuracy

Artificial intelligence and machine learning are rapidly evolving fields. We are constantly working to improve the Services to make them more accurate, reliable, safe, and beneficial. Given the probabilistic nature of machine learning, use of our Services may, in some situations, result in Output that does not accurately reflect real people, places, or facts. You should evaluate the accuracy of any Output as appropriate for your use case, including by using human review of the Output. You should not rely on Output as a sole source of truth or factual information, or as a substitute for professional advice.

6. Third-Party Services

The Services may include or integrate with third-party software, services, or other products. Third-party components are subject to their own terms and conditions. We do not control, endorse, or assume any responsibility for any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties.

7. Our Intellectual Property Rights

The Services are owned and operated by Mana AI. The Services, including their design, features, AI models, algorithms, software, code, documentation, and branding (collectively, "Mana AI IP"), are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. Nothing in these Terms grants you any right, title, or interest in the Mana AI IP beyond this limited license. All trademarks, service marks, trade names, and logos displayed on the Services are our property or the property of their respective owners. You may not use our name, logos, or trademarks without our prior written consent.

8. Paid Accounts

Billing

Certain features of the Services require a paid subscription ("Paid Account"). By subscribing to a Paid Account, you agree to pay all applicable fees as described at the time of purchase. Payment is due at the beginning of each billing cycle. All amounts paid are non-refundable, except where required by law or as explicitly stated.

Cancellation

You may cancel your Paid Account at any time through your account settings. If you cancel, your subscription will remain active until the end of your current billing period. We do not provide refunds or credits for partial billing periods.

Price Changes

We may change our prices from time to time. If we increase our subscription prices, we will give you at least 30 days' notice before the price change takes effect, and the new price will apply at the start of your next billing cycle following the notice.

Taxes

Unless otherwise stated, fees are exclusive of applicable taxes. You are responsible for paying all applicable taxes associated with your use of the Services. If we are required to collect or pay taxes on your behalf, the taxes will be added to your bill.

9. Termination and Suspension

You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to the Services if we reasonably believe:

• You have violated these Terms or our usage policies
• Your use of the Services poses a risk to us, our users, or any third party
• Your account has been flagged for suspicious activity
• We are required to do so by law

Where feasible, we will provide you with advance notice before suspending or terminating your account, along with an opportunity to export your data or correct the issue, unless we reasonably believe that doing so would compromise safety, cause harm, or violate the law. Upon termination, your right to use the Services will immediately cease, and we may delete your account data in accordance with our Privacy Policy.

10. Discontinuation of Services

We may decide to discontinue any of our Services at any time. Where reasonably practicable, we will give you advance notice before discontinuing a Service. If you have a Paid Account and we discontinue a Service you are paying for, we will provide a pro-rata refund for any prepaid, unused portion of the Service.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, MANA AI AND ITS AFFILIATES, SUPPLIERS, AND LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE, OR ERROR-FREE, THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED, OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS. YOU ACCEPT AND AGREE THAT ANY USE OF OUTPUTS FROM THE SERVICES IS AT YOUR SOLE RISK AND YOU SHOULD NOT RELY ON OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER MANA AI NOR ITS AFFILIATES, SUPPLIERS, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICES.

OUR AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO US FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100).

13. Indemnity

You agree to indemnify, defend, and hold harmless Mana AI, its affiliates, officers, directors, employees, consultants, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your Content; (c) your violation of these Terms; or (d) your violation of any rights of any third party.

14. Dispute Resolution

Informal Resolution

We would like to understand and try to address your concerns prior to formal legal action. Before filing a claim against Mana AI, you agree to try to resolve the dispute informally by contacting us at legal@mana-ai.co. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 60 days of submission, you or Mana AI may bring a formal proceeding.

Mandatory Arbitration

You and Mana AI agree to resolve any claims arising out of or relating to these Terms or the Services through final and binding arbitration, except as set forth below. This includes claims that arose before these Terms, such as claims related to a previous version of the Terms.

Exceptions

This arbitration agreement does not require arbitration of the following claims: (a) individual claims brought in small claims court; and (b) injunctive or other equitable relief to stop unauthorized use or abuse of the Services or intellectual property infringement or misappropriation.

Class Action Waiver

Disputes must be brought on an individual basis only, and may not be brought as a plaintiff or class member in any purported class, consolidated, or representative proceeding. Class arbitrations, class actions, and representative actions are not permitted. Only individual relief is available.

15. General Terms

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Mana AI is established, without regard to its conflict of law provisions.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the effective date, and, where appropriate, by sending you an email or other notification. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or any other term, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Mana AI concerning the Services.
